The Texas Business Organizations Code (TBOC), in Section 3.151, requires all filing entities, except limited liability companies and limited partnerships, to keep minutes of certain meetings of the entity’s governing authority. Who has a right to see the minutes of a meeting?

The TBOC provides some basic guidance regarding who is allowed to have access to a company’s meeting minutes.

Corporations: Section 21.218 of the TBOC provides for who has a right to examine the meeting minutes of a corporation.
Limited Liability Companies: If minutes are required to be kept, Section 101.502 of the TBOC provides for who has a right to examine the meeting minutes of a limited liability company.
Limited Partnerships: If minutes are required to be kept, Section 153.552 of the TBOC provides for who has a right to examine meeting minutes of a limited partnership.
