Meeting minutes are a written record of everything that happened during a meeting. Minutes allow a person to look back at a meeting and know topics were discussed and what actions were taken. The Texas Business Organizations Code (TBOC), in Section 3.151, requires all filing entities, except limited liability companies and limited partnerships, to keep minutes of certain meetings of the entity’s governing authority. Having an accurate record of meetings can save a company time and money. Accurate meeting minutes help provide clarity when two parties in a company have a different recollection of what took place at a meeting, possibly preventing that difference from escalating further.
